1. INTRODUCTION

These Terms of Use (the "Terms") govern your access to and use of https://www.theterraneans.com (the "Site") and all associated services, features, products, content, and offerings provided by Terraneans Corp ("Terra"), a wellness and lifestyle company duly incorporated and existing under the laws of the Province of Ontario, Canada. 

Together with its services—including but not limited to in-person wellness events, virtual sessions, digital programs, interactive tools or assessments, online courses, private coaching, community memberships, products, content, downloadable materials and resources (e.g. eBooks, guides, workbooks) software, and any third-party materials made available through the Site (collectively, the “Services”), are provided on an "as is," "as available," and "with all faults" basis.  

The Site is owned and operated by Terraneans Corp (“Terra”). By continuing to access or use the Site and Services, including purchasing products from the Site, or by clicking a box that states that you accept or agree to these terms, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy. If you do not agree, you must immediately discontinue use of the Site and Services. 

Terra reserves the right at its discretion, to change, modify, add or remove portions of these terms and conditions or revise these Terms at any time. Any updates will be posted on www.theterraneans.com and will take effect as of the date of publication. We are not required to provide individual notice of such changes. You are responsible for reviewing the Terms periodically to ensure your continued understanding of your rights and obligations.  

By continuing to access or use the Site or Services after any such modifications become effective, you agree to be bound by the revised Terms.

2. DEFINITIONS

For the purpose of these Terms of Use:

-"Terra", "we", "our", and "us" refer to Terraneans Corp, a wellness and lifestyle company registered in Ontario, Canada, and its officers, directors, employees, contractors, affiliates, and representatives.

- "you", "user", "participant", or "member" refers to any individual or entity accessing, using, or engaging with this website or services or offerings, including those who register for events, purchase products, or interact with Terra in any form.

- "facilitator", "coach", or "third-party provider" refers to any independent contractor, instructor, guide, or collaborator engaged by Terra to provide services or contribute content.

- "services" or "offerings" refer to all in-person and virtual events, workshops, coaching programs, digital content, physical product sales, community memberships, and other related activities provided or facilitated by Terra.

- "events", "retreats", and "workshops" refer to any scheduled or organized activities, whether in person or virtual, hosted or co-hosted by Terra.

- "products" include all tangible items sold or distributed by Terra, including wellness goods, printed materials, merchandise, and digital downloads.
“digital products”
eBooks, downloadable guides, videos, or any other intangible item delivered via electronic means through the Site or other platforms operated by Terra.

“in-person events”
Wellness retreats, workshops, classes, or community gatherings hosted by Terra at physical locations.

“Terraneans”
A term used to describe members of the Terra wellness community, whether participating in-person or online.

“account”
A user-created profile or registration on Terra’s Site enabling access to member-only services, purchases, or event participation.

“force majeure”
Circumstances beyond Terra’s reasonable control (e.g., natural disasters, pandemic restrictions, labor strikes) that may delay or prevent service delivery.

“third-party providers”
Independent contractors, wellness professionals, authors, coaches, or companies not directly employed by Terra but offering goods or services via the platform.

“class credit” or “store credit”
A non-refundable balance issued by Terra that can be used toward future purchases, classes, or event participation, valid within a specified time frame.

“user-generated content”
Any material (text, photo, video, testimonial, etc.) submitted by a user, participant, or client through Terra’s Site, social platforms, or during services/events.
"Site"
Refers to the official Terra website located at [www.theterraneans.com], including all subdomains, content, and services hosted or made available through it.

“content”
Refers to all text, images, audio, video, graphics, data, code, software, and other materials available on or through the Site, whether provided by Terra, users, or third parties.

“terms” or “terms of use”
Refers to this agreement, including any policies, guidelines, or notices incorporated by reference, which govern your access to and use of the Site and Services.

“community guidelines” Refer to Terra’s standards of conduct that govern how users interact within any shared, public, or member-only spaces provided by the Site or affiliated platforms (including forums, comment sections, live chats, event spaces, or social media channels). These guidelines are designed to maintain a respectful, inclusive, and safe environment for all users.

If we offer any fee-based services on this Site, they will be available only to individuals who are legally capable of entering into binding contracts under applicable law.
3. CONTENT
3.1 Responsibility for User Content 

You are solely and entirely responsible for any content or material you submit, upload, post, store or share via the Site or in connection with any Terra-related event, service, or program ("User Content"). This includes, but is not limited to, written feedback or reviews, text, articles, blogs, testimonials, photos, videos, comments, or other materials submitted through forms, email, or social media. You assume all risks associated with your content, including its legality, appropriateness, accuracy, and any reliance others may place on it. By submitting content, you represent and warrant that you own it or have obtained all necessary rights and permissions to use and authorize Terra to use it in accordance with these Terms. 

You may be held legally liable if your content: 

• Contains material that is false, deceptive, intentionally misleading or fraudulent statements or representations

• Violates or infringes on any third-party right, including any copyright, trademark, service mark, patent, trade secret, moral right, privacy right, right of publicity, confidential ideas, or any other intellectual property or proprietary right 

• Contains material that is unlawful, including illegal hate speech, illegal material, abusive behavior or pornography; exploits or otherwise harms minors

• Is obscene and/or obscene as to minors;  

• Is defamatory, racist, lewd, libelous, lascivious, harassing, abusive discriminatory or otherwise objectionable 

• Exploits, harms, endangers, or misrepresents others; 

• Violates or advocates/encourages conduct that could constitute a civil liability or criminal offense or the violation of any applicable local, provincial, federal, national or foreign law or regulation or violates these Terms, or community guidelines. 

• Promotes violence, illegal activities, self-harm or activities that could endanger others

Terra is not responsible for monitoring or verifying the legality of user-generated content (or User Content) but reserves the right to remove or restrict any content at its sole discretion.

Any content submitted to Terra by users—including but not limited to testimonials, comments, images, videos, social media content, or contributions from guest facilitators or third-party creators—is governed by this section.  

Terra makes no warranties or representations regarding the accuracy, legality, completeness, reliability, or timeliness of any user-submitted or third-party content. All such content is provided “as is” and is accessed or used at your own risk and discretion. Terra shall not be held liable for any direct or indirect consequences arising from your reliance on, use of, or exposure to such content.

You further agree not to upload, post, transmit, store or share any content through the Site or its associated services that is not in compliance with the Terms or is deemed by Terra, in its sole discretion, harmful to its community, brand values, or reputation.

3.2 Our Right to Use Your Content 

By submitting, uploading, sharing or posting any content on this Site, you grant to Terra a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable, and sublicensable license to use, reproduce, store, adapt, edit, modify, publish, translate, distribute, perform (either publicly or by digital audio transmission) and publicly display, transmit, and create derivative works of that content in connection with Terra’s services, operations, business development, marketing, educational, editorial purposes, promotional efforts and advertising initiatives, in any media format or channel now known or later developed. This includes, but is not limited to, use in social media, email campaigns, event promotions, advertising materials, website content.

This includes your acknowledgement that you will not receive any compensation, recognition, or attribution for the use of your submitted content, unless otherwise agreed in writing. Terra reserves the right, at its sole discretion, to refuse, remove, or modify any user-generated content submitted to the Site or associated platforms, without notice.

You represent and warrant that you own or otherwise have the necessary rights to grant this license, and that such content does not infringe any third-party rights. You confirm that you hold all necessary rights in your content and that its use by Terra will not violate the rights of any third party.

To the extent permitted by law, you waive any moral rights you may have in the submitted content, including the right to attribution and the right to object to derogatory treatment. Where moral rights cannot be waived under any applicable law, you agree not to enforce them against Terra in a manner that interferes with Terra's legitimate use of the content.

Terra is under no obligation to use any content you submit and disclaims any responsibility for third-party use or republication of your content once it becomes publicly available and accessible.

You may also request the removal of previously submitted content by contacting Terra in writing. Terra will make reasonable efforts to accommodate such requests within a practical timeframe, subject to technical limitations and provided the content has not already been published or disseminated by Terra or third parties beyond its control.

3.3 Ownership of Content

All content made available on or through the Site, Terra’s social media platforms, and associated materials—including but not limited to text, images, videos, graphics, logos, audio recordings, digital downloads, course materials, blog posts, event recordings, guides and other written or visual materials (‘Terra Content”)—is the exclusive property of Terra or its authorized content providers and is protected by Canadian and international copyright, trademark, and other applicable intellectual property laws.

Unless otherwise expressly stated, all rights are reserved. You may not copy, reproduce, republish, upload, post, transmit, distribute, mirror, scrape, modify, or otherwise use any Terra Content in any manner without Terra’s prior written consent. Nothing in these Terms shall be construed as granting you any license or right to use Terra Content beyond the permissions expressly granted in writing.

All content on or through the Site is the intellectual property of Terra or its content providers and is protected by intellectual property laws. You may not use Terra Content in any way except as expressly authorized in writing. 

Any unauthorized use of Terra Content—including content licensed to Terra by third parties—is strictly prohibited. Nothing in these Terms shall be construed as granting you any license or right to use Terra Content beyond the permissions expressly granted in writing.

3.4 Advertising
Terra and its authorized licensees may publicly display advertisements, sponsored content, or promotional messages and other information nearby, alongside, or in association with any content uploaded or published on the Site.

You acknowledge and agree that Terra is under no obligation to provide you with any form of compensation or attribution in connection with any advertising or promotional content, regardless of whether your content appears near, alongside, or in association with such advertisements.

The nature, format, placement, and scope of such advertising are determined solely at Terra’s discretion and may be modified at any time without prior notice. You grant Terra all necessary rights to use your User Content in conjunction with such activities, as set out in section 3.2.

3.5 User Content Disclaimer
All content submitted, uploaded, or otherwise provided by users on or through the Site—including but not limited to any affiliated digital platforms such as mobile applications, social media channels, newsletters, forums, or other marketing and communications channels—is considered non-confidential and public. By submitting such content, you expressly acknowledge and agree that it may be used, displayed, distributed, or republished by Terra across any of its digital or promotional properties, without limitation.

You are solely responsible for the content you submit, including but not limited to text, images, audio, video, or any material that identifies or references yourself or others. You further acknowledge and agree that:

• Your content may be publicly accessible and viewable by others, and Terra does not control how third parties may interpret, share, or redistribute such content;

• Terra does not endorse, verify, or guarantee the accuracy, reliability, completeness, legality, or appropriateness of any user-generated content and disclaims all liability arising from or in connection with such content;

• Terra is not obligated to monitor, review, retain, or store user-submitted content and does not guarantee its availability or confidentiality;

• Terra may, at its sole discretion, remove, edit, or refuse to post any content, without notice or explanation.

• By submitting such content, you represent and warrant that:  

• You have all necessary rights, licenses, consents, and authority to submit the content and to grant the above-described rights to Terra.  

• You are not impersonating any other person or submitting content on behalf of anyone else without their express, written authorization.

You further agree that Terra shall not be held liable for any loss, damage, liability, claim, or harm—whether direct, indirect, incidental, consequential, reputational, or otherwise—that may result from:

• The submission or publication of your content;

• The interpretation or use of your content by any third party;

• The republication, misuse, or redistribution of your content by others.

This section shall survive the termination or expiration of your use of the Site or any Services provided by Terra.

Please note that any personal information you submit through the Site (whether in content or otherwise) will be handled in accordance with our Privacy Policy, which outlines how we collect, use, store, and disclose your personal data. By submitting content, you acknowledge that certain personal details may be made public and that Terra has no obligation to restrict public access to such information unless required by applicable law.

3.6 Content Moderation
Terra reserves the right to monitor, review, screen, remove, edit, restrict, or reinstate any user-submitted content at its sole discretion, at any time, with or without cause, and without prior notice.

Such moderation measures may be taken to protect the safety and well-being of the user community, maintain a respectful, inclusive, and lawful platform, uphold Terra’s brand integrity and values, comply with applicable laws, regulations, or legal obligations.

You acknowledge and agree that any decision to remove content or restrict user accounts is made at Terra’s sole discretion and does not require explanation or justification. These actions do not give rise to any right of review, appeal, or compensation and shall not be deemed a violation of any rights you may claim to have in relation to your content or access to the platform.

3.7 License to Users
Terra grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the content available through the Site solely for personal, non-commercial purposes and in accordance with these Terms.

This license does not grant you the right to:

• Modify, copy, adapt, translate, publish, distribute, transmit, or create derivative works from any content;

• Reproduce, display, or otherwise use content for commercial purposes, or in connection with teaching, coaching, training, or instructional services in any format;

• Upload, embed, mirror, or otherwise make Terra content available on external platforms, websites, or servers without Terra’s prior written consent.

For this purpose alone, you may retrieve and display the content on a computer screen, except for this, you agree not to download, copy, reproduce, modify, store, archive, show in public, redistribute or commercially exploit in any way any part of the content without the prior written permission of us. You agree not to use the content or the Site for any illegal or improper purpose, nor for any purpose which might infringe the rights of others or which might harass or cause inconvenience or distress to any person. 

You may not, without prior written consent, insert a hyperlink to the Site (or any part thereof) on any other Site or “mirror” or frame any content contained on the Site on any other server or Site. You also agree to abide by all copyright notices and restrictions attached to the content and not to remove or alter any such notice or restriction or alter the content in any way. 

Any unauthorized use, reproduction, or exploitation of Terra Content is strictly prohibited, will result in the immediate termination of this license, and may subject you to civil or criminal liability under applicable laws.

3.8 Compliance with Intellectual Property Rights

Terra takes the protection of its intellectual property rights seriously. You acknowledge and agree that: 

• Any unauthorized use, reproduction, distribution, or modification of Terra Content is strictly prohibited and constitutes a violation of these Terms and applicable law; 

• Terra reserves the right to pursue all available legal remedies, including civil and criminal proceedings, in the event of infringement, misuse, or misappropriation of its content or intellectual property; 

• Terra may issue cease-and-desist notices, demand removal of infringing materials, and seek injunctive relief and damages without the requirement to post bond or prove actual harm; 

• Terra may suspend or terminate your access to the Site or Services, without notice, in response to any suspected or confirmed violation of its intellectual property rights or the license granted under these Terms; 

Terra may cooperate with law enforcement agencies, internet service providers, and platform operators to investigate and address violations. 

If you believe any content on the Site infringes your intellectual property rights, please contact Terra at info@theterraneans.com with detailed information, including the nature of the infringement, evidence of ownership, and requested action. 

Terra reserves the right to remove or disable access to allegedly infringing material upon receipt of a proper notice. Submitting false or misleading claims knowingly or in bad faith may result in legal action and other consequences under applicable law.

3.9 Complaint Procedures 

If you believe that any content posted on the Site violates the Terms, please promptly notify us by email at info@theterraneans.com When submitting your complaint, please include sufficient detail. At a minimum, it should contain a description of the content or the right you believe has been violated; the facts supporting your belief that the policy has been breached or a right infringed; the exact location (URL or page reference) of the content; an explanation of why you believe the individual who posted the content lacked authorization to do so and if known, the identity of the individual responsible for posting the content.  

You acknowledge that we have the right, but not the obligation, to investigate any complaints we receive. By reserving this right, we do not assume any duty to investigate, remove, disable, or restrict access to any content on the Site. We, in our sole discretion, decline to take action on complaints we consider to be unfounded or insufficient. If you believe that any content on the Site infringes your rights, your sole remedy lies with the individual(s) responsible for posting or storing that content—not with us.

4. GUEST CONTRIBUTORS AND THIRD PARTIES

From time to time, content may be provided to Terra by guest facilitators, collaborators, or independent third-party creators (“Contributors”).

Unless otherwise agreed in writing through a signed content license agreement, the ownership of such content remains with the original creator. In such cases, the Contributor grants Terra a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, adapt, edit, format, and publicly display the content in connection with Terra’s operations.

This license includes, but is not limited to, the right to:

• Feature the content on Terra’s digital and promotional channels, including but not limited to its website, mobile platforms, newsletters, blogs, event materials, social media accounts and platforms, and marketing campaigns, provided such use aligns with Terra’s brand standards and values.;

• Use the content for promotional, marketing or advertising, editorial, educational, and archival purposes, in a manner consistent with Terra’s brand values and professional standards.

Terra reserves the right to make minor edits or formatting adjustments—including limited editorial changes—to ensure alignment with its visual identity, brand consistency or clairty editorial tone, and platform specifications, provided that such modifications do not alter the core meaning or misrepresent the original intent of the Contributor’s work.

Contributors acknowledge that by sharing content with Terra, they grant these rights knowingly and voluntarily, and that Terra has no obligation to attribute or compensate them unless explicitly agreed in writing.

Unless otherwise agreed in writing, Contributors retain all moral rights in their content; however, they agree not to enforce such rights against Terra in connection with any minor, good faith editorial changes made for clarity, tone, formatting, or brand consistency. 

All content provided by Contributors—whether submitted, posted, uploaded, or shared on the Site or through any Terra-affiliated platform—is subject to the same standards, responsibilities, and restrictions applicable to User Content as outlined in Section 3 of these Terms. This includes, without limitation, the requirements that content not be unlawful, obscene, defamatory, libelous, hateful, lewd, misleading, infringing, exploitative, or otherwise objectionable. Terra reserves the right to remove or restrict any Contributor content at its sole discretion.

5. ACCEPTABLE USE

You are prohibited from using the Site or any Terra platform for unauthorized commercial purposes, including advertising, solicitation, promotional messaging, posting spam links, or directing users toward third-party products, services, or sales without obtaining prior written consent from Terra.

You may not use this Site to transmit unsolicited email. You may not send unsolicited email to this Site or to anyone whose email address includes the domain name used on this Site or our domain name. You may not use our domain name as a pseudonymous return email address for any communications which you transmit from another location or through another service. You may not pretend to be someone else – or spoof their identity – when using this Site. 

Your access to the Site is subject to your compliance with the Terms. If you breach any of these terms, we reserve the right to revoke your access to the Site. You also agree to defend, indemnify, and hold us harmless—at your own expense—from any claims, liabilities, or losses arising from your violation of this Agreement. If we request, you agree not to attempt to access the Site following such a violation. 

You are solely responsible for your actions and conduct on or related to the Site and agree to accept full legal responsibility for any consequences, losses, or damages arising from your use or misuse of the Site or your interactions with other users.

As a user of the Site, you agree to use it only for lawful purposes and not to engage in any illegal, harmful, fraudulent or otherwise inappropriate activities, including but not limited to:

• Use the Site for any unlawful purpose or any purpose prohibited by these terms, conditions, and notices. 

• Use the Site in any manner that could damage, disable, overburden, or impair, or compromise its functionality or security. 

• Harassing, mistreating, intimidating, stalking, defaming, abusing or otherwise violating the legal rights (including rights of privacy and publicity) of the other users of the Site. 

• Interfering with any other party’s use or enjoyment of the Site 

• Violating the rights of other users of the Site; 

• Infringing upon the intellectual property rights of Terra, other users, or any third-party entities; 

• Attempting to obtain unauthorized access to materials or information not intentionally made available through the Site, including but not limited to the use of automated tools, scraping, bots, or other data-mining technologies;  

• Accessing content or data not intended for you, or logging onto a server or account that you are not authorized to access;

• Attempting to probe, scan, or test the vulnerability of the Services, the Site, or any associated system or network, or to breaching security or authentication measures without proper authorization; 

• Interfering or attempting to interfere with service to any user, host, or network, including, without limitation, by means of submitting a virus to the Site or Services, overloading, “flooding,” “spamming,” “mail bombing,” or “crashing; 

• Using the Site or Services to send unsolicited e-mail, including, without limitation, promotions, or advertisements for products or services; 

• Hacking into the account of another user of the Site; 

• Gaining or attempting to gain unauthorized access to the accounts or personal information of other users; 

• Introducing any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful; 

• Engaging in activities that are fraudulent, misleading, or deceptive. 

• Attempting to modify, reverse-engineer, decompile, disassemble, or otherwise reduce or attempt to reduce to a human-perceivable form any of the source code used by Company in providing the Site or Service. 

• Attempting to access, interfere with, damage, or disrupt any parts of the Site, or any server, database, or network connected to the Site. 

• Posting any material or content that Terra, in its sole discretion, considers inappropriate, offensive, discriminatory or harmful to its community or reputation.

This Acceptable Use policy also extends to your conduct off-platform, particularly considering Terra's interconnected digital community and in-person events. Terra reserves the right to restrict, suspend, or terminate your access based on conduct exhibited both on and off the Site that Terra reasonably considers harmful or detrimental to its community, safety standards, or brand values. 

Users remain solely responsible for their conduct and any consequences arising from their misuse of the Site or its services.

Furthermore, if Terra believes, at its sole discretion, that you are using the Site illegally, inappropriately, or in violation of these Terms, Terra reserves the right to monitor user conduct and to limit, suspend, restrict or permanently terminate your access immediately and without prior notice. Terra may also remove or disable access to any content that, in its sole judgment, violates these Terms or poses a threat to the integrity of the Site or its community. 

Terra may also initiate any necessary legal actions to enforce compliance and protect the integrity of the Site. 

If you become aware of any violations of this Acceptable Use policy or these Terms of Use, you are encouraged to report such violations promptly to Terra at info@theterraneans.com. Terra will review all reported violations and may take appropriate action, including but not limited to restricting, suspending, or terminating access, and pursuing legal action. Your cooperation helps Terra maintain a safe, respectful, and compliant environment for all users.
6. AGE RESTRICTION

This Site is not intended for individuals under the age of 18. By using the Site, you confirm that you are at least 18 years old. If you are under 18, you may not use the Site or participate in any of its offerings without the supervision and consent of a parent or legal guardian. By creating an account or submitting personal information, you further affirm and warrant that you meet all applicable age requirements specified in these Terms. Terra reserves the right to suspend or terminate access if it reasonably believes that you do not meet these age requirements. 

To register for or make a purchase on the Site, you must be at least 18 years of age. By registering, you confirm that all information provided by you is accurate, current, and complete. You are responsible for maintaining and updating this information as needed. If you are under 18 years of age, you may only use the Site or register for services with the explicit consent and supervision of a parent or legal guardian. Terra assumes no responsibility or liability for any access to, use of, or consequences arising from the use of this Site, including all pages and content, that violate any applicable laws or restrictions in any country or territory. 

By using this Site, you confirm that such use is permitted under the laws of your jurisdiction. Terra shall not be held liable for any legal issues, penalties, or damages incurred as a result of unauthorized or unlawful access or use.

8. MEMBERSHIP AND USER ACCOUNTS

8.1 Account Creation and Management  

To access certain features of the Site or participate in specific services (such as coaching sessions, event bookings, or member-only content), users may be required to create a personal account. You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary to maintain its accuracy. You are also responsible for promptly updating this information if it changes. Failure to do so may result in the suspension or termination of your access to the Site. A legitimate email address is required to obtain a unique username and password. 

You may be required to create a password. You are responsible for maintaining the confidentiality of your password and account information, and for all activities that occur under your account, including unauthorized use. You are solely responsible for maintaining the confidentiality of your account, password and other log in credentials and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. Terra is not liable for any loss, damage, or consequence resulting from your failure to adequately safeguard your account credentials or from unauthorized access to your account. 

If you suspect that your password or account has been compromised, you must notify us immediately. You must also inform us of any known or suspected breach or attempted breach of Site security. 

You are strongly advised to protect your privacy by carefully choosing what personally identifiable information you include in your content submissions. Terra reserves the right to suspend or terminate your account at any time, without prior notice, if you violate these Terms, or if your conduct is inconsistent with Terra’s community standards, guidelines, or values. 

Terra reserves the right, in its sole discretion and without notice, to suspend, deactivate, or permanently terminate your account if you violate these Terms of Use; your account is used for unlawful or abusive purposes; your activity interferes with the safety or integrity of the Site or its users; required by law or regulatory action. Terra also reserves the right to refuse registration or access to any user for any reason not prohibited by law. 

We use email to communicate important service-related information. Additionally, you may receive email communications from third-party providers if you use third-party services accessed through the Site. Terra may also contact you via email to inform you of special events, promotions, or offers available to Site registrants.  

If you believe your account has been compromised or accessed without authorization, you must notify Terra immediately at info@theterraneans.com   

Terra is not liable for any loss or damage resulting from your failure to secure your login information or for unauthorized use of your account.

8.2 Account Closure by User 

You may close your account at any time by contacting Terra at info@theterraneans.com. Upon closure, your access to member-only content and services will be discontinued. Terra may retain limited account information for administrative, legal, or security purposes, in accordance with the Privacy Policy.

8.3 Linking to the Site and Social Media Features 

You may link to our homepage, provided the link is created in a fair and lawful manner that does not harm our reputation or exploit it. However, you must not establish a link in a way that implies any association, approval, or endorsement by us without our prior written consent. 

This Site may provide you with certain social media features that enable you to: 

• link from your own or certain third-party sites to certain content on this Site;

• send electronic mail or other communications with certain content, or links to certain content, on this Site; or

9. CONSENT TO TERMS DURING ACCOUNT CREATION OR CHECKOUT 

By creating an account, placing an order, making a purchase, or otherwise participating in any Terra product, service, or offering, you expressly acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use, as well as any additional terms, policies, or guidelines referenced herein or provided at the time of purchase or participation. If you do not agree to these Terms of Use in their entirety, you must not create an account, complete a purchase, or participate in any Terra offerings. 

Your continued use of the Site or Services after any updates or modifications to these Terms constitutes your ongoing acceptance of such changes. 

You acknowledge that it is your responsibility to review the most current version of the Terms before engaging in any transactions or use of the Site. 

Failure to comply with these Terms may result in account suspension, termination, or denial of access to current and future Terra services.

9.1 Newsletters & Other Communications

By subscribing to Terra’s mailing list during checkout (by clicking on the relevant box), registration, or inquiry, you consent to receive periodic communications from Terra, including but not limited to:

10. SPONSORED / AFFILIATE CONTENT  

Certain portions of the Terra website may include content containing links to third-party websites. In some cases, Terra may receive compensation from the operator of a third-party website if you click on a link or make a purchase on that site. 

By clicking on such links, you acknowledge and agree that you are leaving the Terra website and accessing a third-party site that is not owned, operated, or controlled by Terra. Terra makes no representations or warranties regarding the content, accuracy, legality, security, or practices of any third-party site, and disclaims all responsibility for your access to or use of such sites. 11. EMBEDDED VIDEOS LINKS

Certain pages of the Terra website allow you to embed videos (the “Embedded Videos”) onto external websites or blog pages using the HTML code provided by Terra. These videos, streamed from Terra’s servers, will appear via Terra’s proprietary video player (the “Player”) but may be displayed within third-party websites.

By embedding a Terra video, you agree to the following terms:

• No Modification: You may not alter the content, format, length, functionality, or any associated advertising of the Embedded Video or the Player.

• Use of Terra Player: Embedded Videos must only be displayed using the Player provided by Terra and may not be accessed or streamed through any other tool or software.

• Commercial Use Restrictions: You may display Embedded Videos on ad-supported websites, provided that:

• The videos are not used in paid-access services;

• They are not used to develop software, including AI or machine learning systems;

• No advertising, sponsorship, or promotional content is inserted into or placed immediately adjacent to the video or Player;

• Any page featuring third-party ads alongside the Embedded Video must also include original content not sourced from Terra.

• Integrity of Player and Content: You may not interfere with, disable, reverse engineer, or modify any component of the Embedded Video, Player, or its underlying technology, including digital rights management or content protection features. Links back to Terra’s website must remain intact and functional.

• Attribution and Analytics: All metrics related to the viewing and use of Embedded Videos will be attributed to Terra.

• Disclaimer and Indemnity: To the maximum extent permitted by law, Terra disclaims all liability related to your use of Embedded Videos. You agree to defend, indemnify, and hold harmless Terra, its affiliates, and their respective directors, officers, employees, and agents from any and all claims, damages, liabilities, or losses (including reasonable legal fees) arising from or related to your use of Embedded Videos.

While we strive to ensure that all information, descriptions, and images related to our offerings are accurate and up to date, such content is provided for general informational purposes only and is delivered on an “as is” basis. We do not warrant or guarantee the accuracy, completeness, reliability, legality or suitability of any goods, services, or related content presented on the Site.

By purchasing goods or services—including those offered by trainers, authors, publishers, or other third parties—through the Site, you acknowledge and accept that such purchases are made “as is” and at your own risk. We disclaim any liability for inaccuracies or variations in the content and do not accept responsibility for any loss or dissatisfaction arising from your reliance on such information. 

Terra reserves the right to modify, reject, or cancel any order at its sole discretion, including—but not limited to—situations where we become aware of any legal issues related to the purchase or any other reason that makes fulfillment of the order inappropriate or impractical.

13. THIRD-PARTY OFFERINGS, LINKS, TRANSACTIONS, AND DISCLAIMERS

Terra may feature, promote, or facilitate access to goods, services, and content provided by third parties—including, but not limited to, trainers, coaches, authors, publishers, wellness practitioners, advertisers, and affiliated service providers. Terra does not control, endorse, warrant, or assume any responsibility for the quality, legality, reliability, safety, or effectiveness of these third-party offerings or the individuals or entities behind them. Your engagement with such third parties is entirely at your own discretion and risk. By choosing to purchase, register for, or otherwise engage with these goods or services through the Site, you do so entirely at your own discretion and risk. Terra disclaims all liability for any dissatisfaction, loss, injury, harm, or damages arising from your interaction with or reliance on such offerings and your access to or use of any third-party content, products, services or platforms. 13.4 User Identity and Verification 

You acknowledge that dealing with third-party providers may involve risks, including but not limited to misrepresentation or fraudulent behavior. While Terra may implement certain measures to vet providers, it does not guarantee the identity, legitimacy, or capability of any third party on or connected to the Site. Users are encouraged to conduct their own due diligence and exercise caution when engaging with others.

13.4 Transaction Risks and Assumption of Responsibility 

All users accessing or using Terra’s platform for the purchase or sale of third-party (including Terra trainers and authors) goods and services do so at their own risk and assume full responsibility for any associated outcomes (“Transaction Risks”). These risks include, but are not limited to:

• Poor product quality or failure to meet descriptions

• Delivery failures, delays, or defaults

Terra is not liable for any damages, losses, costs, claims, or disruptions resulting from or in connection with any Transaction Risk.

Buyers and third-party sellers are solely responsible for setting and complying with the terms of their transactions on or through the Site. These include, but are not limited to terms regarding:

Terra reserves the right to suspend or terminate your access or participation if you fail to comply, without liability for any resulting losses or damages.

13.7 Disputes and Release of Liability 

In the event of a dispute between you and a third-party provider, you agree to release, indemnify, and hold harmless Terra, its affiliates, officers, employees, and agents from any and all claims, demands, actions, losses, liabilities, costs, and expenses (including legal fees) arising out of or in connection with that dispute or transaction. Terra shall not be responsible for resolving such disputes or compensating any party for related losses. 

13.8 No Obligation to Notify on Third-Party Changes 

Terra assumes no responsibility for notifying users of any modifications, discontinuations, interruptions, or other changes related to third-party providers, even if such providers have previously been referenced, or integrated through the Site. This includes, but is not limited to, changes in pricing, service availability, terms of use, or business operations. Users acknowledge and agree that it is their sole responsibility to stay informed about the current terms, reliability, and status of any third-party service or platform they choose to engage with through or outside of the Site. 

13.9 Data Sharing with Third Parties 

If you engage with third-party services or providers via the Site, you may be required to provide personal data or other sensitive information directly to such third parties. Terra does not own, control, or assume responsibility for how third-party providers collect, use, store, or disclose your information. Once shared, your data is subject to the terms, privacy policies, and data handling practices of the respective third-party provider. Terra disclaims all liability related to the privacy, security, or misuse of data shared with any external party. You are strongly advised to conduct independent due diligence and carefully review any applicable third-party terms and privacy policies before proceeding with any interaction or transaction. 

User personal data may be stored or processed outside Canada, including jurisdictions like the U.S., where privacy laws may differ from those in Ontario. 

14. PAYMENTS

We accept the following payment methods on our Site:

When you provide us with your payment information, you authorize our use of and access to the payment instrument you have chosen to use. By providing us with your payment information, you authorize us to charge the amount due to this payment instrument. 

All Credit Cards will be processed in Canadian Dollar at the time of payment. We are not responsible for any fees, charges, exchange rates or additional charges levied by individual financial institutions or Credit Card companies. 

If we believe your payment has violated any law or these Terms of Use, we reserve the right to cancel or reverse your transaction.

15. SHIPPING AND DELIVERY 

Orders are shipped via standard postal services, and delivery timelines vary depending on the destination country and local postal regulations. While Terra is headquartered in Toronto, Ontario, Canada, certain products may be shipped from other locations, including but not limited to Turkey. Delivery will be initiated as soon as reasonably possible, based on product availability and the shipping method selected at checkout. 

Delivery time estimates are provided for convenience only and are not guaranteed. They exclude weekends and statutory holidays and may be affected by unforeseen circumstances such as weather delays, customs inspections, or service disruptions. Terra is not responsible for delays caused by customs clearance processes, local delivery conditions, or third-party carriers. 

Terra is not responsible for delays or non-delivery caused by incorrect, incomplete, or outdated shipping addresses provided by the customer, unclaimed packages, or any issues beyond Terra’s control once a package has left our fulfillment center. If an order is returned due to an incorrect or incomplete address provided by the customer, re-delivery may be subject to additional shipping charges. 

If your order has not arrived within the estimated delivery window, you must notify us within 14 days of the expected delivery date by contacting info@theterraneans.com . Claims made after this period may not be eligible for investigation, reshipment, or compensation. 

You will be required to pay applicable delivery charges in addition to the purchase price of goods. All shipping fees will be clearly disclosed prior to the completion of your order. Terra reserves the right to modify its shipping policies at any time without notice.

16. INTERNATIONAL ORDERS, CUSTOMS, AND DELIVERY RESPONSIBILITIES  

If you purchase goods from Terra for delivery outside of Canada, your order may be subject to import duties, taxes, and customs fees imposed by the destination country. These charges are not included in the purchase price and are your sole responsibility. You are required to pay any applicable duties and taxes in accordance with the laws and regulations of the receiving country. We strongly recommend that you contact your local customs authority for further information before placing an international order. 

You are solely responsible for providing a complete and accurate delivery address, including the full name of the intended recipient. Terra is not liable for any failed, misdirected, delayed, or undelivered shipments resulting from incorrect, incomplete, or outdated information provided at checkout.

For international product orders:  

• Terra does not guarantee delivery timeframes for international shipments and shall not be responsible for lost, delayed, or seized packages due to customs enforcement or carrier issues. Estimated delivery times are provided as guidelines only.   

• Terra assumes no responsibility for the payment of such duties, taxes, or fees, nor shall we be liable for any consequences arising from your failure to comply with such applicable regulations.

• In the event that a shipment is denied entry, seized, lost, or returned due to non-compliance or refusal to pay required charges, you will not be entitled to a refund unless required by law. 

• If a package is returned to Terra due to non-payment of customs fees, refusal by the recipient, or failure to claim the shipment within the carrier’s or customs authority’s holding period, Terra will not be responsible for any return shipping costs, customs duties incurred upon re-entry, and any applicable administrative fees, to the extent permitted by law.

• Please note that international orders are final sale unless otherwise specified and returns, if accepted, must be pre-approved by Terra and may be subject to additional processing or restocking fees, to the extent permitted by law.  

• Terra is not responsible for damage incurred during international transit. Customers are advised to inspect shipments upon delivery and contact the carrier directly for any damage claims. 

17. TERRA PRODUCTS, EVENTS AND SERVICES – REFUND & RETURN POLICY  

17.1 Definition of Terms for the Purposes of This Policy

• “Unused” refers to any service not accessed, booked, logged into, or attended in any way. 

• “Special Events” include, but are not limited to, retreats, destination wellness experiences, private VIP sessions, and Terra-branded ticketed events outside of regular programming. 

Consumers in Ontario purchasing certain online or remote goods or services may have a statutory cooling-off period of ten (10) days, allowing them to cancel their purchase unless explicitly waived by the consumer at the time of purchase.Where required by law, Terra will provide refunds for services or products that were not delivered as described, defective, or otherwise non-conforming. 

Refunds for digital goods and event participation are not guaranteed unless required by law, or unless the request meets Terra’s published eligibility criteria, as outlined in Sections 17.2, 17.3 and 17.4. 

Refund requests must be submitted within 14 days of the original purchase date or the scheduled date of the applicable service or event, whichever occurs first. Requests submitted after this period may not be eligible for review or refund. 

Failure to attend a scheduled service or event without providing prior written notice will be deemed a "used" service and shall not be eligible for refund. 

Requests based on exceptional personal circumstances (e.g., medical emergencies) may be considered on a case-by-case basis, subject to Terra’s sole discretion. Supporting documentation may be required. 

17.2 Product Purchases (Physical Items)  

Refunds are available within 30 days of the original purchase date. 

• Returns are generally not accepted, except in cases where a significant product defect is identified. Terra might accept returns that are in compliance with the following eligibility criteria:

• To be eligible for a refund, the item must be: 

• Unused, unworn and unwashed

• Returned in its original packaging with all tags and labels intact

• Accompanied by a valid receipt or proof of purchase 

• All returned items are subject to inspection upon receipt. Terra reserves the right to deny a refund if the returned item does not meet the above conditions or shows signs of wear, damage, or use

• Please note that, for hygiene and safety reasons, certain items such as, personal care products, and final sale items are non-refundable and non-returnable, unless they are proven to be defective upon delivery

• In case of damage during shipping, customers must report the issue within 5 days of delivery with photos of the outer packaging and product. 

• To request a return under exceptional circumstances, contact info@theterraneans.com with a detailed explanation and supporting documentation (such as photographs) evidencing the issue. Exceptional circumstances may include shipping damage, product mislabeling, or other rare issues not covered under general defect policies. 

• Customers are responsible for all return shipping costs unless the return is due to an error or defect attributable to Terra. 

• Refunds, if approved, will be processed to the original payment method within 7 to 14 business days of Terra’s receipt and inspection of the returned item. Processing times may vary depending on your financial institution. 

• Items must be returned within 14 days of receiving a return authorization. 

17.3 Final Sale 

The following items are considered final sale and are not eligible for return or refund, except where required by law or unless found to be defective upon delivery: 

• Opened or used personal wellness items (e.g., yoga mats, water bottles, towels)

• Items marked as “Final Sale” at the time of purchase

• Gift cards 

• Customized or personalized products 

• Digital products (e.g., eBooks, guides, downloads) are final sale and non-refundable unless explicitly stated. 

Claims for defective items must be submitted within 5 days of delivery, along with photographic evidence. 

17.4 Refund Processing Conditions 

All approved refunds will be processed to the original payment method within 7–14 business days after Terra receives and approves the return. 

All refunds are net of any applicable transaction, processing, or administrative fees charged by third-party payment processors. 

Terra reserves the right to refuse any refund request that: 

• Does not meet the stated policy conditions, or

• Appears fraudulent, abusive, or excessive in nature. 

17.5 In Person Events & Workshops

• All ticket sales for in person or virtual events are final and non-refundable. 

• No refunds will be issued for participant cancellations due to personal reasons, scheduling conflicts, travel issues, or failure to attend. 

• Tickets are non-transferrable unless explicitly stated for a specific event. Transfer requests must be made in writing at least 72 hours prior to the event and are subject to approval by Terra. 

17.6 Cancellation by Terra 

In the event of cancellation by Terra (e.g., due to venue closure, instructor illness, or force majeure), participants will be offered one of the following options: 

• Class or store credit (valid for 6 months) 

• A class gift card redeemable for another Terra experience or service

• Rescheduling (subject to availability and agreement) 

Terra reserves the right to make necessary changes to event details, including instructors, venue, or schedule, provided the core nature and value of the experience is maintained. Such changes do not constitute grounds for a refund. 

Refunds will not be issued due to adverse weather conditions, unless the event is officially cancelled by Terra. 

For select special events, a non-refundable deposit may be required to secure your booking. This amount will not be refunded under any circumstances unless otherwise required by law. 

Tickets are non-transferrable unless explicitly stated for a specific event. Transfer requests must be made in writing at least 72 hours prior to the event and are subject to approval by Terra. 

Force majeure includes but is not limited to natural disasters, pandemics, governmental restrictions, venue closures, or any other events beyond Terra’s reasonable control. 

If an event is rescheduled, your ticket will automatically be transferred to the new date or converted into a store credit for use in a future Terra event. Refunds will only be provided where required by applicable consumer protection laws or regulations. 

If a class or session is cancelled by Terra due to an instructor or coach no-show, or for any operational reason, affected participants will be offered one of the following remedies: 

• A class or store credit, processed within 30 days, and valid for 6 months from the date of issuance, or,

• A rescheduled session, subject to availability and mutual agreement. 

Notifications may be sent via email, SMS, or through your registered account dashboard, depending on the contact details and preferences you have provided. No additional compensation will be provided beyond the options listed above. Terra is not liable for missed notifications due to outdated or incorrect contact information provided by the user. This constitutes Terra’s full and final obligation in such cases, and no further claims shall be entertained. 

Terra also reserves the right to modify the format, instructors, or content of any class, workshop, or event without prior notice, provided such changes do not compromise the essential value and integrity of the experience. 

17.7 Other Important Conditions 

• Terra reserves the right to make necessary changes to event details, including the program, instructors, location, timing, or facilitator, provided the core nature and value of the experience is maintained. Such changes do not constitute grounds for a refund. 

• Some events may require a minimum number of participants to proceed. In the event of low enrollment, Terra may cancel the event with reasonable prior notice and offer participants either a store credit or a class credit. 

• Terra maintains the right to make adjustments that ensure the safety, quality, and integrity of its wellness experiences. 

• Partial attendance or late arrival to any event, class, or workshop (whether online or in person) does not qualify for a refund or credit. Full participation is the responsibility of the attendee. 

• If a session is not recorded by Terra, participants shall have no entitlement to request a recording, and Terra is under no obligation to provide individual recordings upon request. 

• If a participant is unable to attend a live or online class, no refund will be issued. However, a class credit or store credit may be granted, provided the participant notifies Terra at info@theterraneans.com at least forty-eight (48) hours in advance of the scheduled session. 

• Requests made less than 48 hours before the class, or after the class has concluded, are not eligible for credit or refund.

• No refunds or credits will be issued for late cancellations or no-shows, regardless of the reason. This applies to both group and private sessions/events, whether in person or online. 

• Terra reserves the right to remove any participant from an event due to disruptive, unsafe, or inappropriate behavior, without refund or credit. 

• Terra reserves the right to cancel any event, class, or workshop—online or in person—if the minimum required number of participants is not met. In such cases, registered participants will be offered a full refund or a class credit. 

17.8 Fraud/Abuse 

Terra reserves the right to deny refunds, credits or access to future events or services in cases where repeated misuse, refund abuse, or suspicious activity patterns are identified. This includes, but is not limited to:  

• Excessive refund requests

• Multiple refund requests across different accounts linked to the same individual

• Repeated last-minute cancellations 

• Attempting to access services without payment or by using false information 

• Account activity inconsistent with standard participant behavior 

• Attempting to access services without payment or by using false information, abusing refund policies to gain free access to paid content or services. 

In cases of confirmed or suspected abuse or fraudulent conduct, Terra may take appropriate corrective actions, including account suspension or termination, cancellation of current bookings, and restriction from future purchases and transactions on the platform. 

Suspected misuse or fraudulent activity may be reported to info@theterraneans.com . Terra reserves the right to investigate and take appropriate measures at its sole discretion. 

Terra may report instances of fraud or abuse to third-party payment processors, financial institutions, or legal authorities, and may pursue legal remedies where necessary. 

17.9 Early Departure / Partial Attendance 

No refunds or credits will be issued for the following, as they are deemed the responsibility of the participant: 

• Partial attendance 

• Late arrivals 

• Early departures 

• Missed sessions 

• No-shows at any Terra-affiliated experience (online or in-person). These cases are considered participant responsibility. 

• Participants are expected to attend scheduled events in full, and failure to do so will not entitle them to any form of compensation or rescheduling.

18. FORCE MAJEURE 

Terra shall not be held liable for any delay, interruption, cancellation, or failure to perform any obligation under these Terms of Use due to events beyond its reasonable control. This includes, but is not limited to, acts of God or natural disasters (e.g., earthquakes, floods, wildfires), Public health crises including pandemics, epidemics or outbreaks of infectious disease; adverse weather conditions, fires, floods, war, terrorism or civil unrest, strikes, labour disputes or industrial actions, utility or transportation disruptions, governmental actions and orders, regulations or restrictions; public health emergencies, or the illness or unavailability of key personnel or loss of access to required venues or facilities. Examples of these circumstances include cancellation of a retreat due to forest fires in the area, government-imposed travel bans and restrictions, or instructor illness without timely replacement. 

In such cases, Terra reserves the right to cancel, postpone, or reschedule any affected services, including but not limited to classes, events, retreats, workshops, or coaching sessions. If services are cancelled due to a force majeure event as mentioned hereinabove, Terra’s liability will be limited solely to the value of the services not yet rendered, and any refund, credit or alternative arrangement offered will be at Terra’s sole discretion. 

Participants will not be entitled to any additional compensation or to assert any claims for loss, damage or expenses arising out of such circumstances. 

Venue Provider Disclaimer (for International and Third-Party Locations): In the event that an in-person event held at a third-party venue (such as a hotel, spa, winery, or retreat center) is cancelled, interrupted, or rendered inaccessible due to the actions, decisions, or circumstances of the venue provider—such as overbooking, facility closures, or denial of access—Terra shall not be held liable for any resulting loss, inconvenience, or damages. Terra’s sole obligation in such cases shall be limited to offering a refund or credit for the affected portion of the program, where applicable and at its sole discretion.

TERRA SHALL NOT BE LIABLE FOR ANY INJURY, ACCIDENT, OR HARM—SUCH AS BUT NOT LIMITED TO TWISTING AN ANKLE, MUSCLE STRAIN, OR OTHER PHYSICAL OR MENTAL INJURIES—THAT MAY OCCUR WHILE PARTICIPATING IN VIRTUAL ACTIVITIES AT HOME OR IN ANY OTHER SETTING. 

THIS INCLUDES BUT IS NOT LIMITED TO YOGA, PILATES, MEDITATION, SOUND HEALING, MOVEMENT THERAPY, BREATHWORK, OR ANY OTHER WELLNESS PRACTICE FACILITATED BY TERRA. FOR CERTAIN IN-PERSON EVENTS (INCLUDING BUT NOT LIMITED TO RETREATS OR PHYSICAL WORKSHOPS), YOU MAY BE REQUIRED TO SIGN A SEPARATE EVENT WAIVER AND ASSUMPTION OF RISK AGREEMENT. PARTICIPATION IN THOSE EVENTS IS CONDITIONAL UPON YOUR COMPLETION AND SUBMISSION OF THAT DOCUMENT. 

IT IS SOLELY YOUR RESPONSIBILITY TO BE FULLY AWARE OF AND CONSIDER YOUR OWN HEALTH CONDITIONS, MENTAL AND PHYSICAL, ALLERGIES, SENSITIVITIES, AND PHYSICAL LIMITATIONS BEFORE ENGAGING IN ANY SUCH ACTIVITIES OR USING ANY PRODUCTS PROVIDED BY TERRA. 

TERRA DISCLAIMS ALL LIABILITY TO THE FULLEST EXTENT PERMITTED BY LAW. YOU AGREE NOT TO HOLD TERRA OR ITS AFFILIATES RESPONSIBLE FOR ANY INJURY-MENTAL OR PHYSICAL-, LOSS, OR DAMAGES ARISING FROM YOUR PARTICIPATION. FURTHERMORE, TERRA SHALL NOT BE HELD LIABLE FOR ANY INCIDENTS OR ADVERSE EVENTS ARISING FROM EXTERNAL CONDITIONS, UNFORESEEN CIRCUMSTANCES, OR FORCE MAJEURE SITUATIONS THAT MAY IMPACT PHYSICAL ACTIVITIES, INCLUDING BUT NOT LIMITED TO ADVERSE WEATHER CONDITIONS, VENUE LIMITATIONS, ENVIRONMENTAL FACTORS, NATURAL OCCURRENCES OR PARTICIPANT NEGLIGENCE. 

TERRA MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING ACTIONS TAKEN IN RELIANCE ON THE CONTENT PROVIDED THROUGH THE SITE. WE DISCLAIM ALL LIABILITY FOR ANY DAMAGES, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR ECONOMIC LOSS, AS WELL AS ANY ILLNESS, INJURY, OR DEATH RESULTING FROM THE USE OF THE SITE OR ITS CONTENT. 

TERRA IS NOT RESPONSIBLE FOR ANY ADVICE, INFORMATION, OR CONTENT PROVIDED, SHARED, OR USED BY THIRD PARTIES, INCLUDING BUT NOT LIMITED TO TERRA TRAINERS, USERS, CONTRIBUTORS AND AUTHORS. ADDITIONALLY, TERRA ASSUMES NO RESPONSIBILITY FOR HOW THE SITE CONTENT IS INTERPRETED, USED, OR TRANSMITTED TO OTHERS.  

This section also applies to all purchases made via the Site, and all participants attending any events in person.

The entirety of Section 22, including all subsections shall survive the termination or expiration of these Terms of Use & Privacy Policy, and shall remain in full force and effect indefinitely.

23.  LIMITATION OF LIABILITY 

TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, WE WILL NOT BE LIABLE TO YOU FOR ANY EXPECTATION LOSSES, LOSS OF PROFITS, SALES OR BUSINESS, LOSS OF ANTICIPATED SAVINGS, LOSS OF USE OR CORRUPTION OF THE SITE OR LOSS OF DATA. IN NO EVENT WILL TERRA BE LIABLE TO YOU FOR ANY INDIRECT, SPECIAL, RELIANCE, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES,  OR ANY OTHER LOSSES OF ANY KIND OF ANY THIRD PARTY WHETHER ARISING DIRECTLY OR INDIRECTLY OUT OF THESE TERMS OR THE USE OF THE SITE OR ITS CONTENT, AND REGARDLESS OF CAUSE OF ACTION, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WHETHER OR NOT THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. 

IF, NOTWITHSTANDING THE OTHER TERMS OF THESE TERMS OF USE, TERRA IS DETERMINED TO HAVE ANY LIABILITY TO YOU, THE TOTAL AGGREGATE LIABILITY OF TERRA WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL OR EQUITABLE THEORY (“TOTAL AGGREGATE LIABILITY”), SHALL IN NO EVENT, EXCEED THE LESSER OF (I) TOTAL AMOUNTS PAID OR PAYABLE BY YOU TO US UNDER THE AGREEMENT IN THE 12 MONTHS PRECEDING THE INCIDENT UNDER WHICH THE CAUSE OF ACTION AROSE; OR (II) FIVE HUNDRED ($500) CANADIAN DOLLARS.

24. INDEMNIFICATION

By using the Site and related services, you agree to defend Terra, its directors, officers, employees, agents, affiliates, subsidiaries, licensors, suppliers and their respective successors and assigns (collectively, the “Terra Parties” and each, an “Indemnified Party”), from and against any and all third-party claims, demands, actions, or proceedings (collectively, “Third Party Claim(s)”); and indemnify, defend, and hold harmless each Indemnified Party from and against any and all Losses, whether arising from Third-Party Claims, inter-party (between us and you) or otherwise, which any Indemnified Party may sustain or incur as a result of or in connection with: 

• Your use or misuse of the Site or any services offered by Terra; 

• Any unauthorized use or alleged use of your account, username, or password by any third party;

• Content that you submit, share, store, post, or transmit through the Site, including any claims of infringement of intellectual property rights, defamation, violation of privacy or publicity rights, or any other legal rights of third parties; 

• Your breach of these Terms of Use or any applicable laws; 

• Any breach of your representations or warranties under this Agreement; 

• Your access to, use, misuse, reliance upon, or inability to access or use the Site or any website to which the Site is or may be linked to from time to time; 

• your use of, reliance on, publication, communication, distribution, uploading, or downloading of anything on or from the Site; 

• Any breach of privacy or security involving your personal information (that is not the direct result of our breach of security and privacy obligations); 

• Your violation of the rights of any other person or entity; 

• Any royalties, fees, or other payments owed by you to any third party as a result of content you provide or activities you undertake through the Site. 

• Any negligent or intentional act or omission by you that causes harm to us or others. 

For the purposes of this Section "Losses" means, in respect of any matter (whether or not involving a third party claim) means all claims, demands, proceedings, losses, damages, liabilities, deficiencies, costs and reasonable expenses (including, without limitation, reasonable legal and other professional fees and disbursements, interest, penalties and amounts paid in settlement) arising directly or indirectly as a consequence of such matter.  

Terra reserves the right, at its sole discretion and expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate fully with Terra in the defense of such claims. 

To the maximum extent permitted by law, Terra and its suppliers shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, data, or use, arising from or related to your use or inability to use the Site or services, even if Terra has been advised of the possibility of such damages. 

You are responsible for ensuring that your conduct on the Site does not infringe on any third-party rights or violate applicable laws. Terra disclaims liability for any unauthorized use of the Site by third parties. 

You agree that, should any third party bring a claim against Terra arising out of your conduct, you will be responsible for any associated legal defense costs, including settlement negotiations, unless caused by Terra’s own proven negligence or willful misconduct 

You further agree that any disputes or liabilities arising from your interactions with third-party providers, including but not limited to trainers, coaches, or vendors featured on the Site, are solely your responsibility, and you shall indemnify Terra against any claims arising therefrom.

25. SEVERABILITY AND ENTIRE AGREEMENT 

If any provision of these Terms of Use is determined by a court or competent authority to be invalid, illegal, or unenforceable under applicable law, such provision shall be deemed severed and deleted from these Terms of Use to the minimum extent necessary to cure such invalidity or unenforceability, without affecting the validity or enforceability of the remaining provisions, which shall continue in full force and effect. 

These Terms of Use, together with any other legal notices or policies published by Terra on the Site, constitute the entire agreement between you and Terra regarding your use of the Site and supersede all prior or contemporaneous agreements, understandings, communications, or representations, whether oral or written, relating to the subject matter herein. 

No waiver, modification, or amendment of any provision shall be effective unless made in writing and signed by an authorized representative of Terra. 

Your continued use of the Site after any modifications to these Terms constitutes your acceptance of the updated terms. 

You agree that a printed version of these Terms and any electronic notice provided by Terra shall be admissible in judicial or administrative proceedings to the same extent as other business documents and records originally generated and maintained in printed form. 

26.⁠ PHOTOGRAPHY & VIDEOGRAPHY NOTICE
By participating in any in-person or online Terra event, session, or program, you acknowledge that photography, video, and/or screen recordings may occur. These may be used by Terraneans Corp. (“Terra”) for marketing, promotional, archival, or internal purposes across channels including but not limited to our website, social media platforms, newsletters, and other promotional materials.

If you prefer not to be featured, please notify our team before purchasing your ticket, upon arrival, or at the start of the session.
